Welcome to the AYRA website (the “Site”). This is Ayra LLC (“AYRA,” “we,” “us,” or “our”) provides you the right to access and use the Site, including all content, products, and services available on the Site (collectively, the “Offerings”), subject to these Terms & Conditions and our Privacy Policy (together, the “Terms”). These Terms govern your use of the Site and your conduct, regardless of how you access it — computer, mobile phone, or other device.

BY ACCESSING OR USING THE SITE, OR BY PLACING AN ORDER, YOU ACKNOWLEDGE THAT YOU HAVE READ, UNDERSTOOD, AND AGREE TO BE BOUND BY THESE TERMS. IF YOU DO NOT AGREE, PLEASE DO NOT ACCESS OR USE THE SITE.

You may only access and use the Site if you are 18 years of age or older. By using the Site, you represent that you meet this requirement. The Site is not intended for use by anyone we have previously removed from our Offerings.

5. PRODUCTS FOR PERSONAL USE ONLY
Products purchased through the Site are for your personal use only. You may not resell, redistribute, or otherwise use AYRA products, or the Site itself, for any commercial purpose without our prior written consent. We reserve the right, with or without notice, to cancel or limit any order we reasonably believe may violate this provision.

6. ACCURACY OF INFORMATION
We take care to describe our products accurately, but we do not warrant that product descriptions, images, colors, pricing, or other content on the Site are complete, current, or error-free. Natural variation in botanical ingredients may also cause product appearance to differ slightly from what is shown on the Site. We reserve the right to correct any errors, including after an order has been placed, and to cancel or refuse orders based on incorrect pricing or availability information. We apologize in advance for any inconvenience this may cause.

If you submit reviews, comments, photos, or other content to us or tag AYRA on social media (“Your Content”), you retain ownership of it, but you grant AYRA a non-exclusive, worldwide, royalty-free, sublicensable license to use, reproduce, adapt, publish, and display Your Content — including in our marketing, on our website, and on our social media — without additional compensation to you. You represent that you have the right to grant this license and that Your Content does not infringe on any third party's rights. We reserve the right, but have no obligation, to remove any content that we believe violates these Terms or is
otherwise objectionable.

9. INTELLECTUAL PROPERTY
The Site and all content on it — including text, graphics, product photography, logos, and the AYRA name and brand assets — are owned by AYRA or its licensors and are protected by applicable intellectual property laws. Except for the limited right to access and use the Site for personal, non-commercial purposes, no license or right is granted to you to copy, reproduce, distribute, modify, or create derivative works from any content on the Site without our prior written consent.

The Site may contain links to third-party websites (including social media platforms and payment processors) for your convenience. We do not endorse and are not responsible for the content, policies, or practices of any third-party site. Visiting linked sites is at your own risk.

11. DISCLAIMER OF WARRANTIES
THE SITE AND ALL OFFERINGS ARE PROVIDED “AS IS” AND “AS AVAILABLE,” WITHOUTWARRANTIES OF ANY KIND, EXPRESS OR IMPLIED, INCLUDING WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, OR NON-INFRINGEMENT, EXCEPT WHERE SUCH DISCLAIMERS ARE NOT PERMITTED BY APPLICABLE LAW.

TO THE FULLEST EXTENT PERMITTED BY LAW, AYRA WILL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, OR CONSEQUENTIAL DAMAGES ARISING FROM YOUR USE OF THE SITE OR ANY PRODUCT PURCHASED THROUGH IT. AYRA'S TOTAL CUMULATIVE LIABILITY ARISING OUT OF OR RELATING TO THESE TERMS OR ANY ORDER WILL NOT EXCEED THE AMOUNT YOU PAID FOR THE APPLICABLE PRODUCT. IN JURISDICTIONS THAT DO NOT PERMIT THIS LIMITATION, OUR
LIABILITY IS LIMITED TO THE MAXIMUM EXTENT PERMITTED BY LAW.

13. INDEMNIFICATION You agree to defend, indemnify, and hold harmless AYRA, its owner, employees, and contractors from any claims, damages, liabilities, and expenses (including reasonable attorneys' fees) arising from: your use of the Site; Your Content; your violation of these Terms; or your violation of any applicable law.

14. TERMINATION
We may suspend or terminate your access to the Site at any time, with or without notice, if we believe you have violated these Terms. Termination does not relieve you of any payment obligations for orders already placed, and provisions of these Terms that by their nature should survive termination will continue to apply.

15. GOVERNING LAW & DISPUTE RESOLUTION
These Terms, and any dispute arising from or relating to your use of the Site or a purchase from AYRA, are governed by the laws of the State of New Jersey, without regard to its conflict-of-law provisions, except where applicable law requires otherwise. Any dispute that cannot be resolved informally shall be brought exclusively in the state or federal courts located in New Jersey, except where applicable law grants you the right to bring a claim in another venue. 16. NOTICE TO CALIFORNIA RESIDENTS

17. GENERAL
These Terms, together with our Privacy Policy and Return, Refund & Replacement Policy, constitute the entire agreement between you and AYRA regarding your use of the Site and supersede any prior agreements. If any provision of these Terms is found unenforceable, the remaining provisions will continue in full force and effect. Our failure to enforce any provision does not waive our right to do so later. You may not assign these Terms without our prior written consent; we may assign these Terms to any party that assumes our obligations under them.
